SALESFORCE FOR GOOGLE ADWORDS SUPPLEMENTAL TERMS OF USE
Salesforce for Google AdWords allows you to create advertisements on selected third party ad networks, including but not limited to Google AdWords (“Third Party Ad Networks”) to track information relating to your search marketing campaigns, or use other services salesforce.com, inc. (“SFDC”) provides on Salesforce for Google AdWords (collectively, "AdWords Service"). If you want to access Salesforce for Google AdWords, you must accept to the following terms of use (“Terms”) by clicking “I ACCEPT” below. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, in which case the terms “You” or “Your” shall refer to such entity. If you do not have such authority, or if your do not agree with these Terms, you must select the “I DECLINE” button and may not use Salesforce for Google AdWords.
These Terms are supplemental to the terms of your Master Subscription Agreement (“MSA”) with SFDC. To the extent of any conflict or inconsistency between the provisions in these Terms and the MSA, these Terms shall prevail. Violation of these Terms may result in immediate termination of your use of the AdWords Service without notice.
User Conduct
You represent and warrant that you are and will be in compliance with all terms, conditions, and policies of any and all Third Party Ad Networks you select (“Third Party Terms”). You must remain compliant with Third Party Terms which may be modified, altered, and/or amended from time to time and may not engage in any conduct violating Third Party Terms.
You shall not, and shall not authorize any party to: (a) generate automated, fraudulent or otherwise invalid impressions or clicks; (b) advertise anything illegal or engage in any illegal or fraudulent business practice with the AdWords Service; or (c) use any robot, spider, or other automatic device or routine to access or interface with the Service or AdWords Service.
You represent and warrant that: (a) all your information is correct and current; and (b) you hold and grant SFDC and Third Party Ad Networks all rights to copy, distribute and display your ads.
Invalid clicks are clicks generated by prohibited methods. Examples of invalid clicks may include repeated manual clicking or the use of robots, automated clicking tools, or other deceptive software. Invalid clicks are sometimes intended to artificially and/or maliciously drive up an advertiser's clicks and or a publisher's earnings. Sources of invalid clicks may include:
• Manual clicks intended to increase your advertising costs or to increase profits for website owners hosting your ads.
• Clicks by automated tools, robots, or other deceptive software.
Third Party Ad Networks closely monitor these and other scenarios to help protect advertisers from receiving invalid clicks and each have their own invalid clicks policies. In the event you suspect fraudulent activity, you are required to immediately notify the Third Party Ad Network immediately. If you believe that your account reports reflect clicks that are more extreme than ordinary user behavior or that exhibit strange patterns, please contact the appropriate Third Party Ad Network. You acknowledge that SFDC is not responsible for any fees or damages associated with any invalid click activity or investigation thereof.
Third Party Ad Networks have a team that investigates invalid click activity on a case-by-case basis. To expedite their investigation, please include the following information in your email to them:
1. The campaign(s), ad group(s), and/or keyword(s) associated with the suspicious clicks.
2. The date(s) and time(s) of the suspicious click activity.
3. Any data in your weblogs or reports that indicate suspicious IP addresses, referrers, or requests.
4. A paragraph describing the trends in logs and/or reports that led you to believe the click activity is invalid.
The verification and research process can be time consuming, and your patience is appreciated while the investigation team reviews your account. Please allow 3-5 business days for them to respond. If you have any additional information, please be sure to include it in your report.
Your Ad Content
"Your Ad Content" is defined as any information you provide (directly or indirectly) to SFDC to obtain AdWords Service. You are solely responsible for Your Ad Content, and we transmit Your Ad Content to a Third Party Ad Network for publishing.
You are responsible to ensure that Your Ad Content complies with all Third Party Terms and by accepting these Terms, you represent and warrant that Your Ad Content complies with Third Party Terms.
You authorize SFDC to access Third Party Ad Networks, on your behalf, to retrieve and post information necessary to provide the AdWords Service to you. You hereby acknowledge that the AdWords Service may or may not provide all the information and functionality that you could obtain directly from the Third Party Ad Networks.
Fees and Payment Terms
In connection with your use of the AdWords Service, you may be required to provide account identification and/or authentication information for multiple payment alternatives including, but not limited to, credit card, debit card, automatic deduction from your bank account, and bill payment services such as PayPal. By providing such account identification and/or authentication information to SFDC, you are explicitly authorizing SFDC to provide this account identification and/or authentication information to a Third Party Ad Network and for the Third Party Ad Network to charge you for your use of the Third Party Ad Service pursuant to the Third Party Terms. You must keep your information current, complete and accurate, especially your email address and your payment information.
Indemnification
Without limiting any indemnification obligations set forth in the MSA, you hereby agree to, at your own expense, indemnify, defend and hold SFDC and its subsidiaries, affiliates, officers, directors, agents, and employees harmless from and against any and all claims, actions, losses, damages, liability, costs and expenses (including but not limited to reasonable attorneys’ fees and expert fees) arising out of or relating to (a) any fraud, manipulation, or other breach of these Terms by you; (b) any third-party claim, action or allegation brought against SFDC arising out of or relating to a dispute with you over the terms and conditions of an agreement or related to the purchase or sale of any goods or services; (c) your violation of any Third Party Terms; or (d) any item or service advertised in connection with Your Ad Content.
Obligations of Third Party Ad Networks
You hereby acknowledge that SFDC is not responsible for (a) any acts or omissions of a Third Party Ad Network; (b) the operation of a Third Party Ad Network; or (c) any breach by a Third Party Ad Network of Third Party Terms.
